Terms of Service
These Terms of Service ("Terms") are a binding agreement between you ("you," "Customer") and GO DJ LLC ("Go DJ," "we," "us," or "our"), located at 32680 Ann Arbor Trail, Westland, Michigan, USA. By creating an account, accessing, or using Go DJ (the "Service"), you agree to these Terms. If you don't agree, don't use the Service.
If you're using the Service on behalf of a company or other organization (an "Organization"), you represent that you have authority to bind that Organization, and "you" includes that Organization.
1. The Service
Go DJ is a cloud-based, multi-tenant collaborative office music application. It lets members of an office, room, or team queue and influence music playback, earn credits through configurable rules (which may include integrations with third-party customer relationship management ("CRM") systems such as Salesforce), and spend credits on actions that affect the queue. The Service runs at app.godjapp.com and related subdomains.
We may add, change, or remove features at any time. We'll try to give reasonable notice of material changes through the Service or by email.
2. Accounts
To use most features, you need an account. You agree to:
- Provide accurate, current, and complete information when registering
- Keep your login credentials secure and confidential
- Notify us promptly of any unauthorized access at legal@godjapp.com
- Be responsible for all activity under your account
You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service. The Service is not directed to children under 13, and we do not knowingly collect personal information from children under 13.
3. Plans, Trials, and Billing
The Service offers free trials and paid subscription plans (the "Plans"). Plan terms, pricing, and features are described at godjapp.com or within the Service.
Trials. Free trials automatically convert to a paid subscription at the end of the trial period unless cancelled before the trial ends. Cancellation can be done through the Service, by emailing legal@godjapp.com, or through the Stripe customer portal where applicable.
Billing. Paid subscriptions are billed in advance on a recurring basis (monthly or annual, as you select) through our payment processor, Stripe. You authorize us and Stripe to charge your payment method on file for all fees due. Subscriptions automatically renew at the end of each billing period unless cancelled before renewal.
Refunds. Except as required by applicable law, fees are non-refundable. We may issue partial refunds at our discretion (e.g., for prolonged service outages).
Taxes. Fees are exclusive of applicable taxes, which you are responsible for paying.
Changes to pricing. We may change pricing for new subscription periods. We'll give you at least thirty (30) days' notice before any price increase takes effect on your account.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose, including violation of intellectual property, music licensing, or privacy laws
- Reverse-engineer, decompile, or attempt to extract source code from the Service
- Use the Service to harass, threaten, defame, or harm others
- Upload or transmit malware, viruses, or harmful code
- Interfere with or disrupt the Service or its underlying infrastructure (Vercel, Railway, Supabase, YouTube, Salesforce, etc.)
- Scrape, crawl, or use automated tools to extract data, except via the Service's documented APIs and within rate limits
- Resell, sublicense, or redistribute the Service without our written permission
- Use the Service to play music for which you do not have a valid license or right to play in your context (commercial environments may require separate music licensing — see Section 6)
- Bypass authentication, security, or access controls
- Submit content that is obscene, hateful, or otherwise prohibited by applicable law
We may suspend or terminate access for violations of this section without prior notice if necessary to protect the Service or other users.
5. Your Content and Data
You retain ownership of any content, configurations, credit rules, lists, or other materials you create or upload to the Service ("Customer Data").
You grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, display, and back up Customer Data solely for the purpose of providing and improving the Service.
You're responsible for the legality and accuracy of Customer Data and for obtaining all rights and permissions necessary to use it within the Service.
We may delete Customer Data after account termination or extended inactivity, in accordance with our Privacy Policy.
6. Music Licensing and YouTube API Services
The Service integrates with third-party music providers (currently YouTube) through their public APIs. Playback is performed through the Service's YouTube integration, subject to that provider's terms.
YouTube API Services. The Service uses YouTube API Services to search for and play YouTube videos. By using the Service to play YouTube content, you agree to be bound by the YouTube Terms of Service. Information about how Google collects and processes your data when you use YouTube is described in the Google Privacy Policy.
You are responsible for ensuring that your use of music through the Service is properly licensed for your context. Playing recorded music in commercial environments (offices, retail spaces, restaurants) often requires separate public performance licenses from organizations such as ASCAP, BMI, SESAC, or SoundExchange in the United States, and equivalent organizations elsewhere. Go DJ does not provide such licenses. Compliance with public performance licensing requirements is your responsibility.
YouTube remains the sole provider of the music content. We are not affiliated with, endorsed by, or sponsored by YouTube.
7. Third-Party Integrations (CRM, Salesforce, etc.)
The Service may integrate with third-party CRM systems (such as Salesforce) and other third-party services through OAuth or webhooks ("Integrations").
When you authorize an Integration:
- You grant the Service permission to access only the data and perform only the actions you authorize during the OAuth flow
- The third-party service's terms, privacy practices, and data handling apply to data within that service
- We use Integration data only to provide the agreed-upon features of the Service (e.g., awarding credits when a Salesforce Opportunity reaches a configured stage)
- You can revoke Integration access at any time through the Service's admin panel or the third-party service
We are not responsible for the availability, accuracy, or behavior of third-party services. Salesforce, YouTube, Stripe, and other third parties are independent companies and not our agents.
8. Intellectual Property
The Service, including its software, design, branding, and content (excluding Customer Data and third-party content), is owned by Go DJ and protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.
You may not use our name, logos, or branding without our prior written consent, except to factually describe that your Organization uses the Service.
9. Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our processing of personal information as described there.
10. Termination
You may cancel your account at any time through the Service or by emailing legal@godjapp.com.
We may suspend or terminate your access to the Service if:
- You materially breach these Terms
- You fail to pay fees when due
- We're required to do so by law or by a third-party provider whose service we depend on
- We discontinue the Service (with reasonable notice)
Upon termination:
- Your right to use the Service immediately ends
- We may delete Customer Data after a reasonable retention period (see Privacy Policy for details)
- Sections that by their nature should survive (Sections 5, 6, 8, 11, 12, 13, 14, and 15) survive termination
11. Disclaimers
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS, OR THAT IT WILL MEET YOUR REQUIREMENTS.
12. Limitation of Liability
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES
- ANY DAMAGES ARISING FROM THIRD-PARTY SERVICES, INCLUDING SPOTIFY, YOUTUBE, SALESFORCE, STRIPE, VERCEL, RAILWAY, AND SUPABASE
- ANY MATTER BEYOND OUR REASONABLE CONTROL
Some jurisdictions do not allow the exclusion or limitation of certain damages. The above limitations apply to the maximum extent permitted by applicable law.
13. Indemnification
You agree to defend, indemnify, and hold harmless Go DJ and its officers, directors, employees, and agents from any claim, loss, liability, damages, or expense (including reasonable attorneys' fees) arising out of:
- Your breach of these Terms
- Your Customer Data
- Your use of the Service in violation of applicable law (including music licensing requirements)
- Any claim that your use of the Service infringes a third party's rights
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Michigan, USA, without regard to conflict-of-laws principles.
Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Wayne County, Michigan, and you consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If a dispute cannot be resolved informally, the parties agree to attempt good-faith resolution before filing suit, including written notice to the other party at the addresses set forth in these Terms or the user account.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we'll notify you by email or through the Service at least thirty (30) days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
16. General
Entire agreement. These Terms (together with the Privacy Policy and any plan or order forms) are the entire agreement between you and us regarding the Service.
Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
No waiver. Failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
No agency. No agency, partnership, joint venture, or employment relationship is created by these Terms.
Force majeure. Neither party is liable for failure to perform due to causes beyond reasonable control (natural disasters, war, terrorism, internet outages, third-party service failures, etc.).
Notices. Notices to us must be sent to legal@godjapp.com or to the address above. Notices to you may be sent to your account email or through the Service.
